/ Infrastructure

The industrial foundation of artificial intelligence.

Financière Marjos' proposed new strategy — Future Infra SCA — focuses on the acquisition, development and operation of AI data centers in Europe, North America and the Asia-Pacific region, in partnership with WhiteFiber Inc. (Nasdaq: WYFI).

/ 01 — The repositioning

From a dormant company to critical infrastructure.

Dormant since 2011, the company refocused direction on 28 November 2025 when Bit Digital Inc. took control. Its proposed strategic repositioning focuses on the acquisition, development and operation of AI data centers, under the future name Future Infra SCA.

Bit Digital Inc. is not a traditional financial company: it is a Strategic Asset Company (SAC) built on two strategic infrastructures — active participation in the Ethereum ecosystem and a majority equity stake in AI/HPC infrastructure through WhiteFiber Inc. (Nasdaq: WYFI).

The group therefore sits at the intersection of two complementary businesses: digital assets and the physical operation of data centers built for the industry's most demanding workloads.

/ 02 — Delivery models

Three ways to make compute available.

WhiteFiber operates three complementary models, powered by a common engineering platform and optimised for persistent AI workloads.

01

AI-optimised colocation

Secure, high-density facilities for demanding workloads: Tier III design, advanced power infrastructure, dedicated cooling engineered for GPU-intensive deployments.

  • — Rack-level instrumentation and telemetry
  • — Physical controls and enterprise compliance
  • — High-capacity power and cooling
02

Turnkey private AI cloud

Managed AI environments backed by service-level agreements, operated within the group's own facilities or at approved third-party sites.

  • — Cluster architecture design and integration
  • — Deployment and configuration orchestration
  • — Operations, monitoring and lifecycle management
03

Reserved GPU instances

Long-term GPU capacity with predictable performance and multi-year commitment terms for sustained production workloads.

  • — Guaranteed bare metal capacity on optimised clusters
  • — Custom workload configurations
  • — Predictable pricing and capacity planning
/ 03 — Investment thesis

Why infrastructure, why now.

Next generation AI models require orders of magnitude more compute capacity with each successive development cycle. This demand cannot be met through software optimisation alone: it requires physical space, megawatts, and networks.

Yet these resources are physically constrained by grid connections, land and equipment availability, and construction lead times. Operators capable of delivering high-density capacity, at scale and on schedule, are in a structurally favourable position.

This is precisely the focus of the group's infrastructure division: designing, deploying and operating compute environments built for AI -rather than conventional server rooms retrofitted after the fact.

/ 04 — The project

A European listed platform dedicated to AI infrastructure.

The Company's contemplated new strategy focuses on investing in the acquisition, development and operation of AI data centers across Europe, North America and the Asia-Pacific region.

WhiteFiber partnership

Access to a proven platform

The Company intends to implement this strategy initially as a partner of WhiteFiber, Inc. (Nasdaq: WYFI) — through one or more joint-venture arrangements — to access its established platform and capabilities: site selection, acquisition, development, operations and project financing. The initial project portfolio is expected to be sourced from WhiteFiber.

Proprietary pipeline

Projects in France and Europe

In parallel, the Company intends to develop its own project pipeline, focusing on assets with secured power — including the conversion of existing industrial sites into data center campuses dedicated to AI and high-performance-computing.

Target markets

Europe · North America · Asia-Pacific

Projects may be undertaken in leading markets, including Europe, North America, Japan, Singapore and Australia.

Financing

Capital raising and debt financing

To finance the development of its business, the Company plans to carry out one or more capital raises and/or obtain external debt financing, on terms and conditions that have yet to be finalized.

"We are pleased to announce a clear new direction and identity as Future Infra. Partnering with WhiteFiber would provide the Company immediate access to a proven data center platform and project pipeline, while we progressively develop our own capabilities and global portfolio over time. We believe this would position Future Infra to participate in one of the most significant infrastructure opportunities of our time."
Sam Tabar — CEO of Bit Digital Inc. / CEO of WhiteFiber Inc. / Future co-Gérant of Future Infra SCA
Future Infra SCA — the contemplated strategy includes a change of corporate name to "Future Infra SCA", while retaining the existing Euronext Paris ticker symbol (FINM). The change of name would be subject to approval by the shareholders' meeting. No changes to the Company's legal structure are contemplated at this stage. The intended composition of the executive management team is set out in the Governance & legal notices page.
